1. Acceptance of Terms

By downloading, installing, or using the Lizia mobile application ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

Lizia is operated by Americord Registry LLC ("Americord," "we," "our," or "us"), a Delaware limited liability company located at 68 Veronica Ave, Unit 10, Somerset, NJ 08873.

2. Eligibility

You must be at least 13 years of age to use Lizia. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's consent to use the App.

3. Account Registration

To use certain features of the App, you must create an account. You agree to:

• Provide accurate and complete information during registration.
• Maintain the security of your account credentials and not share your password with others.
• Notify us immediately if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or in violation of these Terms.

4. Description of Service

Lizia is a pregnancy companion app that provides:

• Free core features: Pregnancy tracking (week-by-week timeline), kick counter, contraction timer, bump photo timeline, breathing exercises, hospital bag checklist, appointment tracking, and the Birth Club community.
• Premium features: Certain advanced features may be offered as paid upgrades. Any premium features and their pricing will be clearly identified before purchase.
• Educational content: Articles and information related to pregnancy, parenting, and cord blood banking sourced from Americord.

5. Community Guidelines

The Birth Club and Americord Parents Club community features allow you to interact with other users. By participating, you agree to:

• Treat other community members with respect and kindness.
• Not post content that is harassing, threatening, discriminatory, obscene, or otherwise objectionable.
• Not share false or misleading health or medical information.
• Not use the community for commercial solicitation, spam, or promotion of products or services.
• Not attempt to impersonate other users or misrepresent your identity.
• Not share other users' personal information without their consent.

We reserve the right to remove content and suspend or ban users who violate these guidelines, at our sole discretion. Violations can be reported through the in-app reporting feature.

6. Medical Disclaimer

The pregnancy tracking tools, kick counter, contraction timer, and other features are intended as personal tracking aids and should not be relied upon for medical decisions. Specifically:

• The App does not diagnose, treat, cure, or prevent any medical condition.
• Tracking data (kick counts, contraction timings) should be shared with your healthcare provider but should not replace professional medical monitoring.
• Week-by-week pregnancy information is general in nature and may not reflect your individual pregnancy.
• If you experience any medical concerns during your pregnancy, contact your healthcare provider or emergency services immediately.
• Educational content about cord blood banking is provided by Americord for informational purposes. A qualified medical professional should be consulted regarding the suitability of stem cell therapy or banking for your family.

Americord and Lizia disclaim any liability for harm arising from reliance on information provided through the App.

7. Intellectual Property

All content, features, and functionality of the App — including but not limited to text, graphics, logos, icons, images, audio, and software — are the property of Americord Registry LLC and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes. You may not:

• Copy, modify, distribute, or create derivative works based on the App.
• Reverse engineer, decompile, or disassemble any part of the App.
• Use automated systems (bots, scrapers) to access or interact with the App.
• Remove any copyright or proprietary notices from the App.

8. User-Generated Content

By posting content in the community features (posts, comments, photos), you:

• Retain ownership of your content.
• Grant us a non-exclusive, royalty-free, worldwide license to display, distribute, and store your content as necessary to operate the community features.
• Represent that your content does not infringe on any third party's rights.
• Acknowledge that content posted publicly (non-anonymously) will be visible to other community members along with your display name.

We do not endorse user-generated content and are not responsible for any content posted by users.

9. Premium Features and Payments

Certain features of the App may require a paid subscription or one-time purchase. If you choose to purchase premium features:

• Pricing and payment terms will be clearly presented before you complete any purchase.
• Payments are processed through the applicable app store (Apple App Store or Google Play Store) and are subject to their respective terms.
• Subscription renewals, cancellation policies, and refund procedures are governed by the policies of the app store through which you purchased.

10. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Termination

We may suspend or terminate your access to the App at any time, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.

You may stop using the App and request account deletion at any time by contacting us at the email below.

Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

12. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Americord Registry LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to the App shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Americord Registry LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, violation of these Terms, or infringement of any third party's rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved in the courts of the State of New Jersey.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms within the App or by other appropriate means. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.
